Terms of Use

These Terms of Use (“Terms”) govern your use of the website operated by 121 Media Group LLC (“121 Media Group,” “we,” “us,” or “our”), including all pages, content, and forms on it (the “Site”). By accessing or using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.

1. About these Terms

These Terms cover your use of the Site only. Any web design, videography, photography, graphic design, or other services we provide are governed by a separate written proposal, agreement, or statement of work signed by you and 121 Media Group (a “Client Agreement”). If these Terms conflict with a Client Agreement, the Client Agreement controls.

2. Using the Site

You may use the Site for lawful purposes, such as learning about our services, viewing our work, and contacting us. You agree not to:

  • Submit false, misleading, or someone else’s information, or impersonate any person or organization.
  • Send spam, bulk or automated submissions, or unsolicited advertising through our forms.
  • Upload files that contain viruses, malware, or other harmful code, or that you don’t have the right to share.
  • Upload or send content that is unlawful, defamatory, harassing, obscene, or that infringes anyone’s intellectual property or privacy rights.
  • Attempt to gain unauthorized access to the Site, its servers, or any accounts, or interfere with the Site’s security or operation.
  • Scrape, copy, or harvest content or data from the Site using automated means without our written permission.
  • Use the Site in any way that violates applicable law.

We may restrict or block access to the Site for anyone who violates these Terms.

3. Inquiries, estimates, and bookings

Submitting a project inquiry, using the project builder, or booking a discovery call does not create a contract or obligate either of us to anything. Any pricing, budget ranges, timelines, or estimates shown on the Site or discussed before a Client Agreement is signed are for general information only and are not binding offers. Work begins only after a Client Agreement is signed and any required deposit is paid. We reserve the right to decline any project.

4. Materials you send us

When you send us information, links, or files through the Site (“Submissions”), you confirm that you have the right to share them. You keep ownership of your Submissions. You give us permission to use them only to review your inquiry, communicate with you, and prepare a proposal. Please don’t send confidential information through the Site unless we’ve agreed to a secure method; unless a separate confidentiality agreement is in place, Submissions made before a Client Agreement are not treated as confidential beyond the protections described in our Privacy Policy.

If you send us ideas, feedback, or suggestions about our Site or services, we may use them without any obligation to you.

5. Our content and intellectual property

The Site and its content — including text, graphics, logos, the 121 Media Group name and marks, designs, photographs, video, animations, code, and the selection and arrangement of those materials — are owned by 121 Media Group or its licensors and are protected by copyright, trademark, and other laws.

You may view the Site and share links to its pages for personal or internal business purposes. You may not copy, download, reproduce, modify, distribute, publicly display, or create derivative works from any Site content, or use our name or logo, without our prior written permission.

6. Portfolio and client work

Our portfolio and case studies show work created for our clients. Client names, logos, trademarks, website content, and other materials belong to their respective owners and are displayed with permission for portfolio purposes only. Their appearance on the Site does not grant you any rights to use them, and does not mean any client endorses anything other than the work described. Results described in case studies reflect specific projects and are not a promise of similar results.

Ownership of, and usage rights in, the work we create for clients are governed by each Client Agreement, not by these Terms.

7. Client Login

The Client Login area is for current 121 Media Group clients. If you are given access to a client portal, you are responsible for keeping your login details confidential, for all activity under your account, and for telling us promptly about any unauthorized use. We may suspend access to protect the security of the portal. A client portal may be operated by a third-party provider and subject to that provider’s terms as well.

8. Copyright complaints

We respect intellectual property rights. If you believe material on the Site infringes your copyright, email us at 121mediagroupllc@gmail.com with: a description of the copyrighted work; where the material appears on the Site; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will review and respond promptly.

9. Third-party links and services

The Site may link to or embed content from third-party websites and services, including client websites, video platforms, social networks, and scheduling or payment tools. We don’t control and aren’t responsible for their content, availability, policies, or practices. Your use of them is at your own risk and subject to their terms.

10. Privacy

Our Privacy Policy explains how we collect and use information through the Site and is part of these Terms.

11. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We work to keep the Site accurate and available, but we don’t guarantee that it will be uninterrupted, error-free, secure, or free of harmful components, or that information on it is complete or current. Content on the Site is for general information and is not professional, legal, or business advice.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 121 MEDIA GROUP AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions don’t allow certain limitations, so some of these may not apply to you. This section does not limit liability under a Client Agreement, which has its own terms.

13. Indemnification

You agree to defend, indemnify, and hold harmless 121 Media Group and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your Submissions, or your violation of these Terms or anyone else’s rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us first and try in good faith to resolve the issue informally for at least 30 days. Any legal action related to the Site or these Terms must be brought exclusively in the state or federal courts located in Forsyth County, North Carolina, and you consent to the jurisdiction of those courts.

15. Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time by posting a new version on this page with a new effective date. Your continued use of the Site after changes are posted means you accept the updated Terms.

16. General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours in connection with a merger, sale, or transfer of our business. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site.
